Use of the Chptr Embedded Offering by Sinclair Internet Property end users are subject to the Chptr terms of service, currently available at https://www.chptr.com/terms (as amended from time to time “Chptr ToS”) and the Chptr privacy policy, currently available at https://www.chptr.com/privacy (as amended from time to time, “Chptr Privacy Policy”), which will be made accessible to such end users by Chptr. The Embedded Offering will be subject to the Chptr ToS and Chptr Privacy Policy as amended by the Sinclair flowdown terms attached as Exhibit C (“Sinclair Flowdowns”, and the Chptr ToS and Chptr Privacy Policy as so amended, the “Embedded Offering ToS” and the “Embedded Offering Privacy Policy”). The Sinclair Flowdowns, Chptr ToS, and Chptr Privacy only may be amended by mutual written agreement. If the parties cannot reach mutual agreement in good faith, then either party may terminate this Agreement upon notice to Chptr without penalty. Notwithstanding the foregoing, each party agrees that the end users will be required to accept both Sinclair’s and Chptr’s privacy policies prior to using the Embedded Offering.
